Non disclosure contracts
Hi guys,
Wasn't sure which forum to post this in so this one will do....
Does anyone know where I can get my hands on a non-disclosure contract?
I am about to try and hire some freelancers for a big project but I want people to sign one before I show them the site / discuss the ideas.
Many thanks!
Mike

Re: Non disclosure contracts
talk to your lawyer/solicitor
Think of it this way, I could write something that sounded good and used long words and then point you in the direction of it. You might like it, and use it but because I've written it and I have no idea about legal speak it may not hold any legal water.
And that's the type of information you get on the net, so pay someone you trust. When I set my business up I used a solicitor and am in regular conversation with him and it's a business cost that goes on my books and gets put into my cash flow plan.
To me, these legallities are important to get right from the start and are worth paying for

Re: Non disclosure contracts
Hey Mike
there are loads of templates available online if you search
i'd have a look a a few different ones and see what clauses out of each one makes sense for you
most nda's a pretty standard and can be really simple
if they are already signing off on a work contract you may just include 1 section on ND in that

Yeah, my NDAs and NCA are part of my larger contracts. I also do have templates for a stand alone version as I often need them merely to talk to a client about a project prior to actually negotiating it...
What's this for?

That's what this is for basically. I'm creating a text based multiplayer game and want people to sign off before I give them a link to the site in it's current example state.
I've found a couple of example ones online but no blank ones - just existing ones.

Re: Non disclosure contracts
If someone really wants to rip off your idea they'll do it regardless of an NDA or not.
To me NDA means "NOT DO ANYTHING" if someone sends me one I just bin it, I can't be bothered with printing it off, signing it, scanning it and sending it back. I don't have the patience or time time for that kind of bollocks when it means so little really.
If your IP is that valuable you need a stronger way of protecting it than an NDA.

Re: Non disclosure contracts
I'm in the finance industry - and NDAs are part of everyday life for us.
In my opinion, NDAs are very worthwhile if (a) your agreement is between two respectable parties (even better if the two parties are peers in the same industry where reputation matters), and/or (b) if the other party violates the specific terms of the NDA (the downside is you better have the $s to invest in enforcing – a well written agmt is easy to win but you’ve got to invest the legal fees before you recover the fees).
Can’t be much help getting an example to you, because the language in NDAs should be narrowly specific to your business and the example site you intend to protect from disclosure.

Re: Non disclosure contracts
Hi all,
Thanks for the replies. In the end I found about 6 or 7 and cherry picked the appropriate bits. It's probably not perfect but it's certainly better than nothing.
And luckily for me there are people out there who can be bothered to scan it and fax it back.
Now all I've got to do is knock up an employment contract... bloody ell
